I'm looking at purchasing a '62 Merc S33. It has the original 260 engine. Is dropping in a big block (most likely a 390 or 428) likely to pose any major problems? I suppose the tranny and rear end will have to be changed out to accommodate the power gain.

You can contact Crites for their shock tower modification kit that duplicates the 64 Thunderbolt Fairlane clearance. That was for a 427 FE motor and works for the 460 as well. The kit runs a tad over a hundred dollars and requires some fabrication. RRS also has a clearance kit that includes a swap to strut front end and accomodates a rack and pinion swap.
Headers for this specific application are also available from Crites.
You are very correct that you will need a different transmission and rear end. The rear would last until you got some traction. Nine inch rears can be narrowed to fit your needs and you should think about adding subframe connectors as well. A Galaxie sized radiator will be another must have item to cool them extra cubes.
Pretty much everything in the power and drive train, cooling system, and brakes needs to be replaced.
